Terms & Conditions
1. Definitions
For clarity, "Investor" means the crowdfunding backer; "Operator" refers to Serenia Resort project manager; "Platform" is the ecosystem facilitating the investment; "Secondary Market" denotes any functionality for transfer or resale of investment rights; "Content" means all text, images, and materials on the Platform; "User" refers to any party using the Services.
2. User Accounts & Responsibilities
2.1 Account Requirements: You must be 18+ to create an account. Accounts must use accurate information and may not impersonate others. You are responsible for all account activity.
2.2 Prohibited Conduct: Users may not (a) violate laws or third-party rights; (b) post false/misleading information; (c) harass others; (d) distribute spam/viruses; (e) interfere with Platform operations; (f) attempt unauthorized access.
2.3 Account Termination: We reserve right to terminate accounts for violations. Users may request termination by contacting support.
3. Roles & Responsibilities
The Operator is responsible for project execution, legal compliance, and investor communication. The Investor confirms understanding risks, completes KYC, and adheres to T&C. All Users must comply with our Community Guidelines.
4. Investment Terms
Includes package-specific details: minimum amount, ROI, timeline, and the contractual nature of free stays. Campaign Owners must provide regular updates (minimum monthly) and immediately notify of any delays.
5. Escrow & Payments
All funds are held in escrow and released upon achievement of milestones. Refunds may occur only per escrow terms and unmet milestones. Chargeback disputes may result in account suspension.
6. Exit Strategy & Secondary Market
Investors may transfer or resell their packages via Platform-approved mechanisms. No public secondary market exists; terms, fees, and approval processes apply. All transfers subject to Platform approval.
7. Risk Disclosure
Investors should understand the risk of capital loss, lack of liquidity, regulatory changes, and project delays. Past performance is not a guarantee of future results. We make no warranties about investment outcomes.
8. Legal & Regulatory Compliance
8.1 General: This offering adheres to Philippine real estate and crowdfunding laws.
8.2 Data Protection: KYC/AML checks and data privacy (GDPR/PDPA) are enforced. Users agree to our Privacy Policy.
9. Fees & Charges
Platform, management, and transfer fees may apply. These are transparently listed in the Fee Schedule. Payment processing fees are non-refundable.
10. Intellectual Property
10.1 Platform Content: All Platform content is protected by copyright/trademark laws.
10.2 User Content: By submitting content, you grant us worldwide license to use it for Platform operations.
10.3 DMCA: We comply with copyright laws. Infringement claims should be sent to our designated agent.
11. Disclaimers & Liability
11.1 No Warranty: Services provided "AS IS" without warranties of any kind.
11.2 Limitation of Liability: We shall not be liable for (a) indirect damages; (b) amounts exceeding fees paid; (c) third-party conduct.
11.3 Release: You release us from claims related to use of Services.
12. Dispute Resolution
12.1 Negotiation: Parties agree to attempt good-faith resolution before formal proceedings.
12.2 Arbitration: Disputes shall be resolved by binding JAMS arbitration in [Jurisdiction]. Each party bears own costs.
12.3 Class Action Waiver: Claims must be brought individually, not as class actions.
12.4 Governing Law: Philippine law governs these terms. Venue for non-arbitrable disputes shall be Manila or Palawan, Philippines.
13. Force Majeure
The Operator is not liable for delays or failure due to uncontrollable events (e.g., natural disasters, pandemics, political unrest).
14. Insurance & Maintenance
Structural insurance is maintained during construction; ongoing maintenance is covered by the Operator post-completion.
15. Modifications & Notifications
T&C updates are effective 30 days after notification. Continued Platform use signifies acceptance. Material changes will be prominently notified.
16. General Provisions
16.1 Entire Agreement: These terms constitute the complete agreement.
16.2 Severability: If any provision is invalid, remainder remains enforceable.
16.3 No Waiver: Failure to enforce rights doesn't constitute waiver.
16.4 Assignment: Rights may not be transferred without consent.
16.5 Notices: Communications will be electronic unless otherwise specified.
